宏達電因第3季展望悲觀，法人認為可能出現虧損，近期股價持續低盪，外資更是頻頻傳出應與大陸廠商併購的說法，但是董事長王雪紅曾公開宣示會珍惜這個品牌，不會被併購，為了穩住軍心留住人才，董事會通過將發行1500萬單位員工認股權憑證，約1.5萬張股票，以22日收盤價149.5元計算，總金額達22.4億元。
宏達電公告指出，經董事會同意，將在主管機關申報生效通知到達之日起1年內發行，得視實際需要，1次或分次發行，實際發行日期授權由董事長訂定；認股權人資格條件，以認股基準日本公司及國內外子公司及分公司編制內全職正式員工為限。
宏達電表示，實際得為認股權人之員工及其所得認股權之數量，將參酌工作績效、整體貢獻、特殊功績或職級等因素，由董事長核定並經董事會同意後認定。任一員工被授予之認股權數量，不得超過每次發行員工認股權憑證總數10%，且單一認股權人每一會計年度得認購股數不得超過年度結束日已發行股份總數1%。
宏達電指出，員工認股權憑證發行總額為1500萬單位，得分次發行，每單位認股權憑證得認購1股普通股。認股權人自被授予員工認股權憑證屆滿2年後，可按時程行使認股權利；認股權憑證授予期間可行使認股權比例(累計)，屆滿2年 60%，屆滿3年100%。
宏達電說，認股權憑證存續期間為公司發行本認股權憑證日起算7年(存續有效期間)，認股權憑證及其權益不得轉讓、質押、贈與他人、或作其他方式之處分，但因繼承者不在此限。存續期間屆滿後，未行使之員工認股權憑證視同放棄，認股權人不得再行主張其認股權利。
